Ohio court backs landlord after tenant lets mechanic move into warehouse

The arrangement quickly outgrew its origins. When the landlord’s representative inspected the premises in the spring of 2024, he found the occupant running a private motorcycle repair business out of the warehouse – complete with parts inventory, shelving he had installed, a motorcycle on a drive-up ramp, and flammable materials. Beach Park’s board member admitted the business had no relation to the museum.

There was more. The landlord’s representative testified to seeing a bed, washer, dryer, oven, a cat with a litter box, and a refrigerator stocked with food. The occupant received personal mail at the address. A neighboring post office supervisor testified the occupant declared in the summer of 2024 that he was living there. None of this was disputed.

In return, the occupant was expected to give tours and make repairs. He also “donated” at least $1,100 toward utilities, paying $300 “every whenever,” as the board member put it. The board member called this arrangement “the deal he came up with” and noted the occupant “wasn’t living up to” it.

Beach Park argued the occupant was a mere licensee, not a subtenant. The court disagreed. Under Ohio law, a license permits occupation only “so far as is necessary to do the act and no further,” while a sublease grants possession “for all purposes not prohibited by its terms.” The occupant’s use – a dedicated workspace, a private business, a residence – was “for all purposes a tenant would enjoy,” the court found. His personal belief that the arrangement was not a sublease did not change the analysis. As the court noted, citing long-standing precedent, “a license does not depend upon the name by which it calls itself, but upon the legal effect of its provisions.”

Beach Park also argued the landlord waived the breach by accepting rent. The court rejected this – any rent that passed through was part of a court-ordered escrow in a separate case, not direct acceptance by the landlord.
