IDBI Bank Shares Slip After Rs 52,878 Crore Fairfax Deal Approval; Government & LIC to Sell 60.72% Stake

News

IDBI Bank shares remained in focus on Friday, October 16, following the Union Cabinet’s approval of a Rs 52,878 crore transaction that will hand Canadian financial services group Fairfax Financial Holdings a controlling stake in the lender.

The landmark decision marks a major step towards resolving the bank’s long-running ownership transition, although the proposed acquisition still needs to clear the remaining regulatory and transaction-related requirements.

IDBI Bank Share Price Today After Rs 52,878 Crore Fairfax Deal Approval

At 11:59 am, IDBI Bank shares were trading at Rs 83.06 on the NSE. The stock opened at Rs 83.70, touched an intraday high of Rs 84.10 and fell to a low of Rs 81.40 during the session. The market is assessing the implications of the proposed ownership change, including the acquisition price, Fairfax’s expansion plans and the future structure of the bank.

The Cabinet Committee on Economic Affairs approved Fairfax’s selection as the strategic buyer on October 14. The transaction involves the sale of a combined 60.72% stake held by the Government of India and Life Insurance Corporation of India (LIC) for Rs 52,878.08 crore.

IDBI Bank Deal: Who Is Selling and How Much Will Fairfax Pay?

Under the approved structure, Fairfax’s acquisition will comprise the government’s 30.48% stake and LIC’s 30.24% holding in IDBI Bank. The Canadian group’s approved purchase consideration is Rs 52,878.08 crore, equivalent to Rs 81 per share.

Following the proposed transaction, the government’s shareholding will fall to 15%, while LIC will retain 19%. Their combined holding will therefore decline to 34%, leaving Fairfax as the bank’s dominant shareholder once the acquisition is completed.

The government has described the exercise as a strategic restructuring rather than a routine stake sale. It has also authorised the Alternative Mechanism to sell the government’s remaining 15% holding through the open market, subject to the prescribed procedures. LIC will determine how to manage its residual investment under its internal policies and applicable regulations.

Fairfax’s Plan: Turn IDBI Bank Into Diversified Financial Services Group

The proposed acquisition is significant because Fairfax intends to use IDBI Bank as a platform for expanding its financial services operations in India, rather than treating the investment solely as a banking acquisition.

Fairfax has said it plans to bring its existing Indian investments in insurance, investment banking and wealth management under IDBI Bank. These include its 49% stake in Digit, which has general and life insurance operations, and its investment in IIFL Capital Services, where Fairfax already owns 30.2% and is pursuing an increase to 51% through an open offer. The proposed transfers would be subject to the required regulatory approvals.

If implemented, the plan would broaden IDBI Bank’s business profile beyond traditional lending and deposit-taking. The proposed structure could bring banking, insurance, investment banking and wealth management activities under a common holding company, potentially creating opportunities to expand its product range and customer reach.

However, the contribution of these businesses is not yet a completed part of the transaction. Fairfax has stated that the acquisition and proposed transfers remain conditional, and the bank’s future structure will depend on the approvals and agreements ultimately secured.
