NAGA Group Secures $8M at a 57% Premium, Anchored by CEO’s Share Pledge
The NAGA Group has secured an $8 million cash injection from institutional investors Presto and MDream at a striking 57% premium. CEO Octavian Patrascu has personally committed to transferring up to 762,742 of his own shares to the investors free of charge in the event of a conversion at a reduced price.

The 36-month convertible bond carries an 8.0% annual coupon and a conversion price of $4.2615, implying a pre-money valuation of roughly $99.2 million based on NAGA’s October 8 closing price.
Additionally, Presto and MDream have secured the right to nominate a candidate to NAGA’s Supervisory Board following any conversion.
Capitalising on a Profitable Turnaround
The financing strategy caps off a significant turnaround for the brokerage. NAGA recently reported its first-ever profitable half-year in H1 2026, a milestone driven by a ruthless corporate restructuring following its 2023 merger with CAPEX.com.
Speaking to Finance Magnates, Patrascu had noted that following the restructuring, NAGA’s geographic footprint is now evenly balanced between Europe, the Middle East, and Latin America at roughly 33% each.
Notably, Latin America’s contribution to total group revenues surged from 5% to 22%.
Patrascu had emphasised, however, that NAGA will refrain from expanding into new territories for the time being. Instead, the company plans to concentrate its efforts on strengthening its foothold within its existing markets.
In the new announcement, the CEO credited the transition to a “leaner, more efficient” operation, noting that the $8 million provides the financial flexibility needed to immediately capture new market share.
Beyond providing a capital runway, the new round operates as a strategic tech play for NAGA’s SuperApp ambitions.
Presto, a quantitative trading firm founded in 2014, will partner with NAGA to upgrade its risk management, trade execution and core infrastructure. Meanwhile, MDream will leverage its fintech expertise to expand NAGA’s digital wallet and payment capabilities, bridging the gap between traditional and decentralized finance.
