Adjusted Net Trading Income, a company-defined measure of trading income net of direct costs, rose to $578.8m in Market Making from $344.1m. On the same day, Virtu said its board unanimously approved changing its state of incorporation from Delaware to Texas, a redomestication (reincorporation) that moves the company’s legal home without relocating the business. An independent and disinterested board committee recommended the move, and the controlling stockholder approved it by written consent, meaning shareholders signed off without a meeting.

“aligning Virtu’s legal state of incorporation with the location of a critical trading, technology and operational hub in Texas will benefit shareholders.”

Virtu said: “The planned redomestication, which is expected to occur later this year, is not expected to affect business operations, management, strategy, assets, or employee locations.”

Virtu will detail the change in a preliminary information statement, the disclosure document sent to shareholders when no vote is solicited, to be filed with the US Securities and Exchange Commission (SEC).

The next dated item for shareholders is a dividend of $0.24 per share, payable on 15 December 2026 to holders of record 1 December 2026.
