Tradeweb to Buy Trumid for $1.97bn
Tradeweb Markets Inc. (Nasdaq: TW) has agreed to buy Trumid Holdings, LLC for about $1.97bn, it announced on 19 October 2026 after the US close. Trumid runs an electronic trading platform for US dollar investment grade, high yield, distressed and emerging market bonds.
The price is $1.75bn for the business plus about $220m for tax assets, meaning tax benefits acquired with the business, valued at net present value, subject to customary adjustments. Tradeweb will pay about $1.89bn in cash, funded primarily from cash on hand, and $82m in equity. Both boards approved the deal unanimously.
| Element | Amount |
|---|---|
| Business | $1.75bn |
| Tax assets | About $220m |
| Cash | About $1.89bn |
| Equity | $82m |
| Target close | First half of 2027 |
Cash makes up almost all of the consideration, so the equity element is small.
Tradeweb plans to combine its AllTrade tool with Trumid’s Swarms and Attributed Trading protocols, which are methods of matching trades. It also cites automation, AI-enabled trade decisioning tools, data and analytics. The deal would take Tradeweb into grey markets, meaning when-issued bond trading before official settlement, and new-issue trading, so clients could trade from a bond’s inception into the secondary market on one platform.
The client mix is part of the case. Trumid is strong with hedge funds and systematic participants, while Tradeweb has established partnerships with the largest institutional investors. Tradeweb has more than 3,000 clients in more than 85 countries and more than $3.0tn of average daily notional over the past four fiscal quarters.
“This acquisition represents an important step forward in our ambition to make credit markets more efficient and provide clients with smarter ways to access liquidity.”
Billy Hult, CEO of Tradeweb
For dealers, institutional venues and any broker or liquidity provider connecting to electronic credit liquidity, the deal points to fewer independent credit venues and a larger competitor. Those firms may want to review their credit venue connectivity and pricing terms. Closing needs customary conditions, including regulatory approvals, so any competition outcome is unknown.
Tradeweb expects the deal to close in the first half of 2027. It expects it to be accretive to adjusted EPS, meaning it raises adjusted earnings per share, within the first full year after closing, with accretion rising as expense synergies are realised. Third-quarter results are due on 29 October 2026 at about 7:00am Eastern time.
